Terms & ConditionsTerms and conditionsBelow are the terms and conditions of sale which shall apply to all contracts for the sale of wines by Imbibros Ltd. LiabilityAll terms and conditions and warranties (whether implied or made expressly) whether by Imbibros Ltd its servants or agents or otherwise relating to the quality and/or fitness of the wines are excluded. Imbibros Ltd shall be under no liability whatsoever to you for any consequential or indirect loss and/or expense (including loss of profit) suffered by you and arising out of a breach of this contract by Imbibros Ltd. Description/QualityWe undertake the proper safekeeping and storage of wines in our possession and act in good faith when purchasing wine. If a defect is suspected, you shall allow an agent of Imbibros Ltd an opportunity to inspect the wines within a reasonable time of notice of defect. If you fail to comply with these provisions the wines shall be presumed to be in accordance with the contract and free from any defects which would be apparent on a reasonable examination of the wines and you shall be deemed to have accepted them. Overseas Orders - Duty PaidThe time limits for exports stipulate that goods must be transported to a destination outside the EC by the last day of the third month following that which the goods are purchased or you will be liable for UK VAT. LawAll contracts made in pursuance of these Terms and Conditions are made under English Law and are subject to the non-exclusive jurisdiction of the English Courts. PricesPrices set out on this website are in pounds sterling including duty and value added tax (VAT) unless otherwise stated. All prices are subject to change and should be checked with Imbibros Ltd at the point of order. On acceptance of the order Imbibros Ltd will confirm the price payable. PaymentPayment is due on invoice, and may be by credit card, bank transfer or U.K. cheque. Overdue sums carry interest from the date when payment becomes due at 5% per annum above the base rate of Lloyds TSB plc from time to time. Until all sums due to us have been paid we shall be entitled to retain possession of any goods to which you would otherwise be entitled. If any payment is overdue we shall be entitled to suspend deliveries/collections until the date payment is made. AvailabilityAll wines are offered subject to availability. DeliveryDelivery can be arranged anywhere within the mainland United Kingdom. Details of delivery charges, times and availability can be obtained from Imbibros Ltd. International deliveries can be arranged at cost. Any indication of availability of the wines in respect of delivery or collection is based on estimates and is not binding. We reserve the right to charge a storage and administration charge for goods not collected or delivered within one month of being available. Title & RiskAll wines remain the property of Imbibros Ltd until payment for the goods is received in full. Risk in all goods shall pass to you as soon as we notify you that they are available and specified under your order. OrdersAll orders for wines shall be deemed to be an offer by you to purchase the wines pursuant to these Terms and Conditions. Receipt of an invoice from Imbibros Ltd will constitute acceptance of your order pursuant to these Terms and Conditions. Any variation to these Terms and Conditions (including any special terms and conditions) shall be inapplicable unless agreed in writing. StorageWe can arrange a storage account for you at our bond. Storage is currently charged at £8.50 per case or part case per annum in advance, excluding VAT. Delivery is charged at cost. DefaultIf any payment is overdue by one month or the goods have not been collected within three months of being available, or there is an earlier indication from you that payment will not be made or the goods will not be collected, we shall be entitled to send written notice to the invoice address of our intention to deal with, sell or otherwise dispose of the goods and 10 days thereafter we shall be at liberty to do so. Any method of resale is entirely at our discretion. Upon resale you will receive a credit of the net proceeds of the resale less 20%. Such credit shall be limited to the amount of your indebtedness to us. Any balance after the credit shall remain payable by you and shall continue to carry interest. The existence of this right does not effect any other remedies we would have. Force MajeureWe shall not be liable for any failure to meet our obligations occasioned by circumstances beyond our reasonable control. |
